These Terms of Service ("Terms") are a binding agreement between Mobeus Industries Inc., a Delaware corporation with offices at 22 Crownview Court, Sparta, NJ 07871 ("Mobeus," "we," "us," or "our"), and the individual or entity registering for or using the Teleglass Platform ("you," "your," or "Customer"). By checking the box to accept these Terms, creating an account, or accessing or using the Teleglass Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
If you or your organization has a separately signed enterprise license agreement or order form with Mobeus that expressly governs your use of the Teleglass Platform, the terms of that signed agreement will control over these Terms in the event of a conflict.
1. The Teleglass Platform
1.1 Description. The Teleglass Platform is a cloud-based conversational interface and visualization platform that allows you to deploy interactive, AI-driven digital avatars ("Teles") — including related tools such as Tele Intelligence (configuration, knowledge, and analytics) and the Tele Acceleration Framework (embedding and runtime infrastructure) — within your own websites, applications, or other digital properties (the "Service").
1.2 Location of the Service. You access and administer the Service, including your account, Tele configuration, and analytics dashboards, through the web application hosted at app.mobeus.ai (or such other URL as we may designate from time to time). You are responsible for ensuring that only authorized users access the Service through that application.
1.3 AI-Generated Content. Teles use artificial intelligence, including third-party language, speech, and avatar models, to generate conversational responses in real time. Responses are generated automatically and may be incomplete, inaccurate, outdated, or inappropriate for a given context. You are responsible for reviewing, testing, and configuring your Tele(s) before relying on them for any purpose, and for any decisions made or actions taken based on Tele output. Mobeus does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
1.4 Changes to the Service. We may add, modify, or discontinue features of the Service from time to time. We will use reasonable efforts to notify you of changes that materially reduce core functionality of a paid plan.
2. Accounts and Registration
2.1 Account Creation. To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2.2 Eligibility. You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the authority to enter into these Terms to use the Service. The Service is intended for business and professional use and is not directed to children.
2.3 Notice of Unauthorized Use. You agree to notify us promptly at legal@mobeus.com if you become aware of any unauthorized access to or use of your account.
3. Plans, Fees, and Billing
3.1 Plans. The Teleglass Platform is offered in various subscription tiers and usage-based plans, as described on our pricing page or within the Service at the time you sign up or upgrade (each, a "Plan"). The features, usage limits, and pricing applicable to your account are those associated with the Plan you select, as may be updated from time to time in accordance with these Terms. These Terms govern your use of the Service regardless of which Plan you select; pricing and plan-specific limits are set out separately and are not part of these Terms.
3.2 Payment. By providing a payment method, you authorize us (or our payment processor) to charge that payment method for all fees associated with your selected Plan, including recurring subscription fees and any usage-based or overage charges, on the billing cycle applicable to your Plan. All fees are stated and payable in U.S. Dollars unless otherwise indicated, and are exclusive of applicable taxes, which you are responsible for unless we are required to collect them.
3.3 Auto-Renewal. Unless you cancel prior to the end of your then-current billing period, paid Plans will automatically renew for successive periods of the same length, at the then-current price for your Plan, until cancelled.
3.4 Free Trials and Free Tiers. We may offer free trials or free-tier access to the Service. We may modify or discontinue free trials or free tiers, or limit their features, at any time. If you do not cancel before a free trial ends, we may automatically begin billing you at the applicable Plan rate if you provided payment information.
3.5 Changes to Fees. We may change the fees for any Plan on a going-forward basis. We will provide reasonable notice of any fee increase before it takes effect for your then-current subscription term; continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.
3.6 Late or Failed Payment. If a payment fails or is not received, we may suspend or restrict your access to the Service until payment is made, in addition to any other remedies available to us.
3.7 No Refunds. Except as required by law or expressly stated in a Plan's terms, fees are non-refundable, including for partial billing periods, downgrades, or unused capacity.
4. License Grant and Restrictions
4.1 License. Subject to your compliance with these Terms and timely payment of applicable fees, Mobeus grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term of your subscription, solely for your internal business purposes and in accordance with the usage limits of your Plan.
4.2 Restrictions. You will not, and will not permit any third party to:
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying models, or architecture of the Service;
- use the Service to build, train, or improve a competing product or service;
- resell, sublicense, rent, lease, or provide the Service to third parties on a standalone service-bureau basis outside the scope of your Plan;
- remove, obscure, or alter any proprietary notices on the Service;
- attempt to gain unauthorized access to the Service, other accounts, or related systems or networks;
- use the Service to develop, deploy, or transmit content that is unlawful, infringing, defamatory, harassing, deceptive, or that violates the rights of any third party; or
- use the Service in any manner that violates applicable law, including export control, sanctions, and data protection laws.
4.3 Reservation of Rights. All rights not expressly granted to you are reserved by Mobeus and its licensors.
5. Customer Data and Content
5.1 Ownership. As between you and Mobeus, you retain all right, title, and interest in and to the data, content, and materials you submit to or through the Service, including knowledge-base content, configuration data, and end-user conversation data collected through your deployment of a Tele ("Customer Data"). You grant Mobeus a limited license to host, process, transmit, and display Customer Data solely as necessary to provide, maintain, and support the Service to you.
5.2 Your Responsibilities. You are solely responsible for: (a) the accuracy, legality, and appropriateness of Customer Data; (b) obtaining any necessary rights, consents, and notices from your own end users regarding the collection and processing of their data through your deployment of the Service, including any consent required for recording or AI-driven interactions; and (c) configuring the Service, including any available privacy or data-capture controls, in a manner consistent with your legal obligations.
5.3 Data Handling. We use commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data. Additional detail on how we collect, use, and secure data — including data retention, sub-processors, and your rights — is set out in our Privacy Policy, which is incorporated into these Terms by reference. Certain data protection, retention, or deletion capabilities (such as bulk export or granular end-user deletion requests) may be limited or unavailable depending on your Plan; enterprise customers with specific data protection requirements should contact us to discuss a separate data processing agreement.
5.4 Feedback. If you provide us with feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
6. Acceptable Use
You are responsible for all activity that occurs through Teles you configure or deploy, including content generated in response to your configuration, knowledge sources, and prompts. You agree not to use the Service to deploy a Tele that impersonates a real person without disclosure, engages in unlawful discrimination, collects sensitive personal information without appropriate safeguards and consent, or is used in a manner that could cause harm to end users, including in high-risk contexts (such as medical, legal, or financial decision-making) without appropriate human oversight and disclosure that end users are interacting with an AI system.
7. Third-Party Services
The Service relies on certain third-party providers (for example, for speech, language-model, and avatar-rendering functionality) to deliver its features. Your use of the Service is subject to the availability and performance of these providers, and Mobeus is not responsible for outages, errors, or changes caused by third-party providers outside its control. We may change third-party providers used to support the Service at our discretion.
8. Intellectual Property
8.1 Mobeus IP. The Service, including its software, models, designs, workflows, and documentation (excluding Customer Data), and all intellectual property rights therein, are and will remain the property of Mobeus and its licensors.
8.2 Trademarks. "Teleglass," "Tele," "Tele Intelligence," "Tele Acceleration Framework," and associated logos are trademarks of Mobeus. You may not use our trademarks without our prior written consent, except as reasonably necessary to identify that your deployment uses the Teleglass Platform.
9. Confidentiality
Each party may have access to non-public information of the other party in connection with the Service ("Confidential Information"). Each party agrees to use the other party's Confidential Information only as necessary to perform under these Terms, and to protect it using at least the same degree of care it uses for its own confidential information of similar nature, but no less than reasonable care. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without an obligation of confidentiality, or is independently developed without reference to the disclosing party's Confidential Information.
10. Disclaimers
THE SERVICE, INCLUDING ALL TELE OUTPUT AND AI-GENERATED CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOBEUS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) MOBEUS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MOBEUS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Mobeus and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Data or your use of the Service in violation of these Terms; (b) your violation of applicable law; or (c) your deployment of a Tele in a manner that infringes, misappropriates, or violates the rights of any third party, including end users.
13. Term, Suspension, and Termination
13.1 Term. These Terms remain in effect for as long as you maintain an account or otherwise use the Service.
13.2 Termination for Convenience. You may cancel your subscription at any time through your account settings or by contacting us; cancellation will take effect at the end of your then-current billing period unless otherwise stated for your Plan.
13.3 Suspension or Termination for Cause. We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms (including non-payment) and do not cure the breach within a reasonable period after notice, or immediately if we reasonably believe your use poses a security risk, legal liability, or harm to Mobeus, other customers, or end users.
13.4 Effect of Termination. Upon termination, your right to access the Service will cease. We may retain or delete Customer Data following termination in accordance with our then-current data retention practices and our Privacy Policy. If you would like to export Customer Data, you should do so, to the extent export functionality is available for your Plan, prior to cancelling or terminating your account.
13.5 Survival. Sections relating to fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination of these Terms.
14. Compliance with Laws; Export Control
Each party will comply with all laws applicable to its performance under these Terms. You represent that you are not located in, and will not use the Service in, any country or region subject to U.S. government embargo, and that you are not on any U.S. government restricted-party list. You will not use the Service in violation of U.S. export control or economic sanctions laws.
15. Modifications to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms with a new "Last Updated" date, and, where required by law or where changes are material, by additional notice such as an in-app notification or email. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.
16. General Provisions
16.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
16.2 Dispute Resolution. Any dispute arising out of or relating to these Terms will first be addressed through good-faith negotiation between the parties. If not resolved within thirty (30) days, either party may pursue any remedy available at law, in the state or federal courts located in Delaware, and each party consents to the exclusive jurisdiction of such courts.
16.3 Assignment. You may not assign or transfer these Terms without our prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets. We may assign these Terms without restriction.
16.4 Force Majeure. Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or utility failures, or governmental action.
16.5 Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
16.6 Waiver. No failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right.
16.7 Entire Agreement. These Terms, together with our Privacy Policy and any Plan-specific terms presented to you at sign-up, constitute the entire agreement between you and Mobeus regarding the Service and supersede any prior agreements on this subject, except for a separately signed enterprise agreement as described in the introduction above.
16.8 Notices. We may provide notices to you via the email address associated with your account or through in-app notifications. You may send notices to us at legal@mobeus.com.
16.9 Independent Contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
